These Terms form a binding agreement between HD Video (“HD Video,” “we,” “us,” or “our”) and you. By visiting, accessing, or using the Website (collectively, “use” or “using”), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please leave the Website and discontinue use immediately. As used here, “you” and “your” mean you personally, any entity you represent, and your or its representatives, successors, assigns, affiliates, and devices.

1. Eligibility

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction if higher, to use the Website. Use is prohibited where restricted by law. In consideration for your acceptance of these Terms, we grant you the limited Grant of Use set out in Section 2.

2. Grant of Use

Subject to these Terms, we grant you a non-exclusive, non-transferable, limited right to access and use the Website and to view the content made available on it (the “Content”) on your personal computer or mobile device for personal, non-commercial purposes only. We may terminate this grant at any time, with or without notice, at our sole discretion. Upon termination, we may (without obligation) deactivate or delete any account, block your email or IP address, restrict your access, and/or remove your User Submissions (defined below). After termination, you must not attempt to use the Website. All provisions that by their nature should survive termination will survive.

3. Intellectual Property

Except for User Submissions and Third-Party Content (defined below), all text, graphics, images, photos, music, video, software, scripts, trademarks, service marks, and logos on the Website (collectively, “Proprietary Materials”) are owned by or licensed to HD Video and are protected by applicable laws and international conventions. We reserve all rights not expressly granted. Except as expressly permitted, you may not copy, modify, publish, transmit, distribute, sell, create derivative works from, or otherwise exploit any Content, in whole or in part.

4. User Submissions

“You” are solely responsible for any content or materials you upload, submit, transmit, create, modify, or otherwise make available via the Website—including any audio files you convert or download (collectively, “User Submissions”). User Submissions may not always be retrievable once submitted, and we do not guarantee confidentiality. By providing any User Submission, you represent and warrant that:

- You own or have all necessary licenses, permissions, and rights to grant the licenses set out here and to use all trademarks, copyrights, trade secrets, and other proprietary rights in the User Submissions;
- You have written consent from each identifiable person in your User Submission to use their name and/or likeness as contemplated by the Website and these Terms;
- You will not upload or allow others to upload material that is unlawful, obscene, defamatory, harassing, abusive, hateful, racially or ethnically offensive, invasive of privacy, fraudulent, infringing, or otherwise inappropriate; depicts illegal activities or promotes physical harm; impersonates others; provides instructions for illegal conduct; or constitutes spam or unauthorized advertising.

License you grant to us. You grant HD Video a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, host, store, modify, adapt, publish, translate, create derivative works from, publicly display, publicly perform, distribute, and otherwise exploit your User Submissions for any purpose related to the Website and our services. You waive (and agree to cause others to waive) any moral rights or attribution claims to the extent permitted by law. We may, in our sole discretion, refuse to publish, remove, or block access to any User Submission at any time, with or without notice. You agree to defend, indemnify, and hold us harmless from any third-party claim that your User Submissions or your use of the Website infringes rights or violates law.

5. Content on the Website

The Website includes content from various sources, including other users and automated means (“Third-Party Content”). We do not control, endorse, or assume responsibility for Third-Party Content and you may be exposed to content that is inaccurate, offensive, or harmful. All Content is provided “AS IS” for informational and personal use only. You may not exploit Content without the prior written consent of its owner/licensor. We may remove or restrict access to any Content at any time.

6. User Conduct

You represent and warrant that information you provide is accurate and that you have all rights necessary to enter into and comply with these Terms. As a condition of use, you agree not to:

- Use the Website for unlawful purposes or in violation of these Terms or applicable laws and regulations;
- Infringe third-party rights, including intellectual property and privacy rights;
- Use automated means (robots, crawlers, scrapers, data-mining tools) to access or extract data from the Website;
- Overload, interfere with, or disrupt the Website or its security features;
- Upload viruses, malware, or other harmful code;
- Harass, stalk, or otherwise abuse others;
- Frame, mirror, reverse engineer, resell, sublicense, or commercially exploit the Website or any Content;
- Forge headers or otherwise disguise the origin of transmitted content.

We may take any appropriate action for unauthorized use, including terminating access and pursuing legal remedies. (Optional liquidated damages language from your prior draft has been omitted as it is often unenforceable or jurisdiction-sensitive. If you want it included, let me know and I’ll add a Türkiye-appropriate clause for counsel to review.)

7. Services on the Website

The Website provides a general-purpose media search and conversion tool. It may allow you to locate and process publicly available online audio/video and to extract audio from lawful sources. You may use the Website only as permitted by applicable law. HD Video does not encourage, condone, or permit any use that violates rights or laws. We do not store User Submissions longer than is technically necessary to provide the service (e.g., for temporary processing and download availability).

8. Fees

HD Video currently offers its core features free of charge and without spam. We reserve the right to introduce or change fees at any time. If your access is terminated for breach, any paid amounts (if any) are non-refundable. Additional terms for paid services (if introduced) will apply.

9. Privacy

Your use is also governed by our Privacy Policy, incorporated by reference. We may update the Privacy Policy by posting a revised version on the Website. Your continued use after any update constitutes acceptance.

10. Copyright/Rightsholder Notices

We respect intellectual property and related rights. If you believe material available via the Website infringes your rights, please send a written notice to our designated contact with the following information:

- Identification of the work(s) you claim is infringed (attach a copy or link to an authorized version);
- Identification of the allegedly infringing material and its location (URL or sufficient information to locate it);
- Your contact information (name, address, phone, email);
- A statement that you have a good-faith belief the use is not authorized by the rightsholder, its agent, or the law;
- A statement that the information is accurate, and under penalty of perjury, that you are the rightsholder or authorized to act on the rightsholder’s behalf;
- Your physical or electronic signature.

If your material was removed in error or misidentification, you may submit a counter-notice containing: (a) your signature; (b) identification of the removed material and its prior location; (c) a statement under penalty of perjury that the removal was a mistake; (d) your name, address, phone, email, and consent to the jurisdiction of the courts identified in Section 14; and (e) a statement that you will accept service from the complaining party or its agent. We may adopt and enforce a repeat-infringer policy, including termination of access for users who repeatedly infringe. (Note: If you prefer a US-style DMCA section and agent registration, tell me and I’ll add that language back with your chosen agent details.)

11. Changes to These Terms

We may amend these Terms at any time by posting an updated version on the Website. Your continued use after changes are posted constitutes acceptance of the updated Terms.

12. Indemnification & Release

You agree to defend, indemnify, and hold harmless HD Video and its officers, directors, employees, and agents from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Website, your User Submissions, or your breach of these Terms. If you have a dispute with any user or third party, you release HD Video and its affiliates from claims and damages of every kind arising out of or related to such disputes.

13. Disclaimers & Limitation of Liability

THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and freedom from harmful components. To the maximum extent permitted by law, HD Video shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, data, or other intangible losses, arising from or relating to your use or inability to use the Website, any Content, interruptions or modifications to the service, or third-party sites or services. In no event will our total liability exceed USD 100 (or the minimum higher amount required by applicable law). You obtain content through the Website at your own discretion and risk; you are solely responsible for any damage or data loss resulting from such content. Your sole and exclusive remedy for dissatisfaction with the Website is to stop using it.

14. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or the Website are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules. For any claim brought by you against us, you agree to the exclusive jurisdiction and venue of the İstanbul courts. For any claim by us against you, you consent to jurisdiction in the İstanbul courts and any other forum where you may be lawfully sued. You agree to bring claims only in your individual capacity and not as a class representative or member. To the extent permitted by law, you waive trial by jury.

15. General

These Terms (including the Privacy Policy) constitute the entire agreement between you and HD Video regarding the Website and supersede all prior agreements. Our failure to enforce any provision is not a waiver. If any provision is held invalid, the remainder will continue in effect, and a valid term reflecting the original intent will replace the invalid term. You may not assign these Terms without our prior written consent; we may assign them freely. We may provide notices via email, postal mail, or postings on the Website. Section titles are for convenience only. “Including” means “including without limitation.” If this agreement is translated and any conflict arises between the translation and the English version, the English version controls.
